ARTICLE I Name and Purpose

1.    The name of this Section shall be the Wisconsin Section of the Mathematical Association of America, Inc. 

2.    The purposes of the Wisconsin Section shall be to assist in the improvement of education in the mathematical sciences at the collegiate level by carrying out the purposes of the national organization within the territory defined below in Article II, Section 1.

ARTICLE II Membership

1.    The membership of the Wisconsin Section shall be as follows: 

a.    members of The Mathematical Association of America, Inc., residing in the State of Wisconsin, Zip codes 53000-54999. 

b.    members of The Mathematical Association of America, Inc., not being resident in the territory of this Section, who have become members of this Section in accordance with Article VI of the Bylaws of the Mathematical Association of America, Inc. 


ARTICLE III Officers

1.    The officers of this Section shall be a Chair, Chair-Elect, and Secretary-Treasurer. 

2.    The Executive Committee of the Section shall consist of the officers of the Section, the Immediate Past Chair, the Section Governor, the Chair of the Committee on Mathematics Contests, the Newsletter Editor, the Representative to the Wisconsin Mathematics Council, the Public Information Officer – Liaison Coordinator, the Student Activities Coordinator, and the Director of Project NExT Wisconsin. 

3.    Each section officer must be a member of The Mathematical Association of America, Inc. and of this Section. 

4.    The officers shall be elected from the membership of the section at its annual Meeting.  The term of office for each shall be one year except for the Secretary-Treasurer whose term is three years. 

5.    The Chair will appoint a nominating committee to recommend a slate of officers.  Further nominations may be made from the floor at the Annual Meeting. 

6.    The duties of the Section officers shall be as stated below. 

a.    The Chair is responsible for the operation of the Section.  As such, the Chair shall preside at each meeting of the Section and of the Executive Committee of the Section.  The chair shall appoint every committee of the Section and be an ex-officio member of each committee, unless directed otherwise by the membership of the Section at an official Section meeting.  The Chair shall also appoint the Chair of the Committee on Mathematics Contests, the Newsletter Editor, the Public Information Officer - Liaison Coordinator, the Student Activities Coordinator, and the director of Project NExT Wisconsin.

b.    The Chair-Elect shall take over the duties of the Chair in his/her absence and shall be the chair of the Program Committee. 

c.    The Secretary-Treasurer shall keep the minutes of the official meetings of the Section and of the Executive Committee, the custody of the records of the Section, the official correspondence of the Section, and shall see that the members are notified of all Regular Meetings and Special Meetings.  The Secretary-Treasurer shall collect dues and/or registration fees at meetings (if authorized by the membership in an Annual Meeting or by the Executive Committee), receive and deposit meeting allowances from the national office of the Mathematical Association of America, Inc. in a separate account, maintain proper and accurate account of Section monies, and pay the bills of the Section.  

7.    The duties of other members of the Executive Committee shall be as stated below. 

d.    The Chair of the Committee on Mathematics Contests shall oversee the construction of the examination for the annual Wisconsin Section Contest.  In this capacity the chair shall form a test writing panel, solicit questions for consideration, guide the committee in the selection

e.    of questions, help prepare solutions, and other duties as required.  The Chair of the committee on Mathematics Contests shall also play a lead role in the recruitment and selection of Section members to serve as coordinators for AJHSME, AHSME, and the Wisconsin Section Examination, and assist the coordinators as necessary. 

f.    The Newsletter Editor shall be responsible for publishing a section newsletter each fall and spring. 

g.    The Representative to the Wisconsin Mathematics Council shall serve as a liaison between the Section and the Wisconsin Mathematics Council and represent the MAA on the WMC Board. 

h.    The Public Information Officer - Liaison Coordinator shall be responsible for communicating information about mathematics and activities of the section to various media in the geographical area of the Section and for coordinating all Departmental Liaison activities within the Section. 

i.    The Student Activities Coordinator shall promote the involvement of students in activities of the Section.  As such the coordinator shall encourage student presentations at the annual meetings and shall be a source of information for various student programs and other activities.  The Director of Project NExT Wisconsin will be responsible for recruiting new faculty within Wisconsin for Project NExT Wisconsin and for planning and directing all activities and programs for Project NExT Wisconsin.           

8.    The Executive Committee shall conduct the affairs of the Section between meetings of the Section membership.                

9.    If a vacancy in one of the elected offices on the Executive Committee should occur, the Executive Committee shall appoint a member of the Section to serve until the next Annual Meeting.  The Section Governor does not come under this procedure. 

ARTICLE IV Meetings

1.    The Section shall hold its Regular Annual Meeting each spring at a time convenient to its members and to the host institution and one which does not conflict with national or district meetings of the Mathematical Association of America or district meetings of the American Mathematical Society. 

2.    The Regular Annual Meeting shall be planned by the Program Committee headed by the Chair-Elect in cooperation with the host institution and the Executive Committee. 

3.    Special meetings may be called by the Chair with the consent of the executive Committee or by membership at an Annual Meeting. 

4.    Each member of the Section shall be notified in writing at least 10 days in advance of any regular meeting or Special Meeting of the Section. 

5.    A quorum shall consist of those members who are present at a properly called meeting. 

ARTICLE V Dues and Use of Assets

1.    The members at any regular Annual Meeting, or the Executive Committee at any of its meetings, may authorize the collection of annual Section dues and/or registration fees for meetings. 

2.    The assets of the Wisconsin Section shall be used exclusively to further the purposes of the Section, and in the event of the dissolution of the Section, the remaining assets will be returned to the national organization to be used for a purpose consistent with the purposes of the national organization. 

ARTICLE VI Committees

1.    A Standing Committee on Mathematics Contests consisting of a Chair and the Wisconsin coordinators of the American High School Mathematics Examination (AHSME), the American Junior High School Mathematics Examination (AJHSME), and the Wisconsin Section-MAA High School Mathematics Contest shall be appointed annually by the Section Chair.  This standing committee shall be charged with carrying out all details of an annual high school mathematics contest and other MAA contests within the Section following the major policies decided by the membership at its Annual Meeting.  The chair of this  Committee shall give a report of committee activities including a financial report at each Annual Meeting.  The   AHSME and AJHSME chairs will be responsible for cooperation with The Mathematical Association of America Competitions. 

2.    The Section Chair may appoint other standing committees or ad-hoc committees as he/she wishes or as directed by the membership at an Annual Meeting. 

ARTICLE VII Ammendments

1.    These Bylaws may be amended by a majority of the votes cast by the members at a regular or special meeting of the section, subject to the approval by the Board of Governors of The Mathematical Association of America, Inc. 

2.    A proposed amendment shall be submitted in writing to every member of the Section at least fifteen days prior to the meeting at which the voting on the amendment will take place. 

3.    When an amendment has been approved by the members of the Section it must be submitted in seven copies to the Committee on Sections for its recommendation to the Board of Governors. 

4.    A complete revision of this set of Bylaws will be subject to the same procedure as that for amending this set.
