Article 1 Name and Location
Section 1 The name of the Chapter shall be "Engineering, Mathematics and Science Alumni Chapter" of the Alumni Association of the University of Wisconsin Platteville.
Section 2 The principal office of the Chapter shall be located in Platteville, Wisconsin, at a place to be designated by the Chapter Board of Directors.
Article 2 Duration
The duration of this Chapter shall be perpetual.
Article 3 Objects and Purposes
The objects and purposes of the Chapter shall be:
Article 4 Uses Denied
The Chapter shall not be used for business or political purposes, or for the pecuniary gain or profit of it's Members.
Article 5 Membership
Those eligible for membership in the Chapter and the qualifications for membership, the different classes of membership, and the voting and other rights and privileges of each class of membership, shall be set forth in the By-Laws. Such qualifications may be changed from time to time by the By-Laws adopted to that effect.
Article 6 Chapter Board of Directors and Officers
The management of the Chapter and the handling of it's affairs shall be conducted by it's Board of Directors consisting of such number of members as shall be fixed in the By-Laws, which shall prescribe their qualifications, tenure of office and manner of election. The officers of the Chapter shall consist of a President, a Past president, two or more Vice Presidents, a Secretary and a Treasurer, with such tenure and duties as shall be provided by the By-Laws. The President of the Chapter shall serve as an Ex-officio Member of the Board of Directors of the University of Wisconsin Platteville Alumni Association with full voting rights.
The Director of Alumni Activities and the Dean of the College of Engineering, Mathematics and Science shall be considered members of the Chapter Board without voting privileges.
Article 7 UW Platteville Foundation Engineering, Mathematics, and Science Alumni Fund
Section 1 The Chapter may establish an Engineering, Mathematics and Science Alumni Fund with the UW Platteville Foundation and take subscriptions therefore and such fund may be recipient of special gifts. All surplus accruing from the general surplus of the Chapter may be placed in said fund upon action of the Chapter Board of Directors.
Section 2 The Engineering, Mathematics and Science Alumni Fund, if and when established, shall be held in trust by the Chapter Board of Directors, who shall be authorized to enter into a trust agreement covering the management, handling, investment and disbursement of the corpus of the fund.
Article 8 Amendments
These Articles of Association and Constitution of the Chapter, may be altered or amended at any annual or special meeting of the Chapter by a two thirds (2/3) majority vote of the membership present at an annual meeting or any special meeting called for that purpose.
